Contract Negotiator The candidate will draft, review and negotiate a wide range of complex commercial contracts valued at $20M + for the sale and purchase of goods and/or services. Will assess business opportunities from a contractual risk and profitability perspective. Analyze and draft legal provisions, including indemnity, limitation of liability, warranties and disclaimers, guarantees and other agreements. Conduct legal analysis of product liability, government procurement, and complex commercial terms and conditions. Provide direction and recommendations and make sound decisions on business matters that affect the assumption and/or mitigation of contractual, performance or other risks. Ensure timely response to customer and supplier requests in support of business opportunities. Provide contractual business leadership and training to corporate functions, field personnel and operational management. Identify and champion the implementation of best practices and contract policy and procedural improvements. Develop and implement contracting policies and procedures and apply independent judgment and foresight to continuously adapt such contracting practices. Ensure that internal procedures involving customers and suppliers are protective of the company's interests while being flexible enough not to hinder the flow of business. Interface with, and serve as a liaison to, Legal, Risk Management, Treasury, Financial Services, Audit, Taxation, and other cross-functional departments as necessary. Support acquisitions, due diligence, and integration activities, and lead such activities for the contracts functions. Act as the focal point for audits by Global Account customers of firm’s contract compliance. Perform other duties as required.

Qualification and Experience

The candidate should have a Master's Degree. Must have JD degree. Must have 2+ years of escalating experience in a law firm or business. Solid foundation in the laws and legal principles governing commercial transactions essential. Background with knowledge of commercial law especially as related to Article 2 UCC transactions and related legal principles is needed. Clear understanding of Article 2 UCC, Battle of Forms principles essential. Familiarity with FARS and DFARS needed. Working knowledge of insurance and bonds in operations and project work required. Familiarity with P/L and Balance Sheet principles essential. Knowledge of contract formation, development, implementation, execution and administration needed. Basic understanding of various factors affecting the profitability and loss of various commercial transactions essential. Proficient skills in Microsoft Office needed.
