A law firm is seeking a Senior Associate Attorney – Bond Practice to provide legal expertise in public finance and bond matters. This role will involve advising municipal clients on the formation and financing of public districts, as well as acting as bond counsel on a variety of financial instruments. The candidate will collaborate across multiple legal practices within the firm and contribute to complex legal projects.

Duties and Responsibilities:

  • Advise clients on the formation and financing of public districts, including community facilities districts, assessment districts, community services districts, municipal water districts, and nonprofit corporations.
  • Provide legal advice on constitutional and legal constraints on public financings.
  • Serve as bond or financing counsel for various financial vehicles, including:
    • General obligation bonds
    • Certificates of participation
    • Lease revenue bonds
    • Special tax and assessment bonds
    • Private activity bonds
    • Industrial development bonds
    • Revenue bonds
    • Water and wastewater financing
    • Airport financings
  • Work closely with other practice groups, such as Cannabis, Code Enforcement, Contracts & Public Works, Education, Energy & Utilities, Environment, Ethics & Open Government, Housing, Labor & Employment, Land Use & Zoning, Litigation, and Real Estate.
  • Research and analyze complex legal issues; draft and submit legal briefs to supervising attorneys.
  • Review and analyze complex legal documents, including contracts, and recommend necessary modifications.
  • Conduct discovery, including the review of electronic and physical records, in preparation for litigation.
  • Perform due diligence on contracts and agreements.
  • Analyze potential outcomes of cases, utilizing legal precedents to assess client risks and liabilities.
  • Advise clients on legal rights, obligations, and claim liability in business transactions or lawsuits.
  • Represent clients in court and before government agencies.
  • Develop strategies and arguments for case presentation.
  • Gather evidence through client and witness interviews, public records examination, and legal research.
  • Collaborate with colleagues specializing in relevant legal areas to verify the basis for legal proceedings.
  • Maintain ongoing communication with clients under the supervision of the attorney(s).
  • Perform administrative and management duties related to the legal practice.
  • Supervise Legal Secretaries and Paralegals as needed.
  • Ensure compliance with all firm policies and procedures.
  • Handle special projects and additional responsibilities as assigned.

Requirements:

  • Experience: 8+ years of experience in public finance and bond counsel practices.
  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Certification: Active license to practice law in California.
  • Skills:
    • Substantial experience in public finance and bond practice.
    • Expertise in drafting, reviewing, and negotiating complex legal documents.
    • Strong legal research and writing skills.
    • Ability to conduct thorough due diligence and discovery.
    • Excellent verbal and written communication skills.
    • Strong negotiation, litigation, and client consultation abilities.
    • Ability to manage multiple projects and deadlines effectively.
    • Proficiency in legal research tools and technology.
