A law firm seeks a seasoned corporate and securities attorney to join its growing Corporate and M&A practice. This role offers the opportunity to work on complex corporate transactions, securities law matters, and business structuring. The firm provides a collaborative and entrepreneurial environment, allowing attorneys to develop their practice while delivering high-quality legal services to a diverse client base.
Assist clients with the formation and operation of corporations and limited liability companies in Minnesota, Delaware, and other jurisdictions.
Provide strategic counsel on entity selection and structuring for new businesses.
Manage mergers, acquisitions, and business dispositions.
Handle private placements, Regulation D offerings, and compliance with federal and state securities laws.
Develop and implement equity incentive plans, including stock options and restricted stock agreements.
Draft and review corporate resolutions for boards and shareholders.
Advise executives, board members, and corporate leadership on legal matters.
Structure equity allocations for startups, ensuring compliance with regulatory standards.
Oversee seed and venture capital financing transactions.
Draft a variety of corporate agreements, including NDAs, MSAs, shareholder agreements, buy-sell agreements, and employment contracts.
Maintain a basic understanding of tax, employment, and intellectual property considerations in corporate transactions.
5-10 years of experience in corporate and securities law.
Ability to manage multiple assignments and collaborate within a corporate legal team.
Strong legal research, writing, and analytical skills.
Proven negotiation and communication abilities.
Licensed to practice law in Minnesota.
Juris Doctor (.) from an accredited law school.
Active Minnesota State Bar membership.
Corporate governance and entity structuring.
Securities law compliance and filings.
Mergers and acquisitions transaction management.
Equity and incentive plan implementation.
Business contract drafting and negotiation.
