U.S. Bank Global Corporate Trust Attorney Duties: Focus on providing advice and support with respect to administration of defaulted accounts, managing pre-litigation matters, and providing litigation management support. Responsible for handling engagement of trustee’s counsel, advising on business line practices and procedures, participating in business line meetings typically related to default administration, assisting with early identification of matters of possible media interest, handling conflict waivers, and preparing periodic status reports concerning pre-litigation and litigation matters. Regularly interact with the bank’s litigation group. Provide advice to concerning issues related to the administration of municipal and corporate finance accounts and will review and negotiate escrow, document custody, transfer agent, paying agent and other complex agency agreements. Responsibilities also include interpreting state and federal laws and regulations issued by agencies such as the SEC, OCC, and MSRB.
Qualification and Experience
Qualifications: Law degree. Licensed by and in good standing with the appropriate state bar association or other appropriate state attorney licensing authority. 7+ years of litigation-related experience involving financing transactions, preferably including experience representing corporate trustees. Background in the legal and regulatory issues applicable to fiduciaries and agents in the context of corporate trusteeships is desired. Experience in representing corporate fiduciary and/or financial institutions is helpful. Preferred: Thorough knowledge of laws and regulations impacting the subject matter and/or business line supported. Strong public speaking skills. Excellent writing and communication skills.
