A law firm seeks an experienced and highly skilled Executive Compensation & Employee Benefits Associate to join its team in the New York City office. The ideal candidate will bring 2 to 6 years of experience in a similar role, preferably from a large law firm, and possess expertise in executive compensation, employee benefits, and transactional matters. This is an excellent opportunity to work with a dynamic team on complex matters, including mergers, acquisitions, public offerings, and executive employment agreements.

Duties:

  • Advise clients on executive compensation, employee benefits, and retirement plan matters.
  • Work with clients on the design, implementation, and compliance of qualified plans, equity compensation plans, and non-qualified deferred compensation plans.
  • Draft and review executive employment agreements, severance agreements, and other related documents.
  • Provide counsel on compensation and benefits issues arising in corporate transactions, including mergers, acquisitions, carve-outs, IPOs, and spin-offs.
  • Work closely with internal teams to manage complex transactions and offer strategic advice on employee benefit plans and compensation structures.
  • Stay updated on the latest legal developments and best practices in the executive compensation and employee benefits field.
  • Collaborate with clients, colleagues, and other professionals to develop creative and practical solutions for compensation-related issues.

Requirements:

  • 2 to 6 years of experience in executive compensation and employee benefits law, ideally from a large law firm setting.
  • Experience in transactional matters, including mergers, acquisitions, spin-offs, and public offerings.
  • Strong background in drafting and reviewing executive employment agreements, retirement plans, and other employee benefits documents.
  • Ability to manage complex legal issues and offer practical, strategic advice to clients.
  • Excellent communication, interpersonal, and problem-solving skills.
  • Team-oriented and collaborative, with the ability to work across different practice groups and offices.
  • Ability to thrive in a fast-paced, high-pressure environment.

Education:

  • . (Juris Doctor) from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Admission to the NY Bar.

Skills:

  • Expertise in executive compensation and employee benefits law.
  • Proficient in corporate transactions, including mergers, acquisitions, and IPOs.
  • Excellent legal writing, drafting, and analytical skills.
  • Strong understanding of tax laws as they pertain to employee benefits and compensation.
