Director, Contracts Counsel Duties: Draft, review, and negotiate a broad range of contracts touching all areas of a rapidly growing cell & gene therapy company business in research, development, and G&A, including sponsored and contract research, manufacturing, confidentiality, material transfer, consulting, advisory board, vendor, master services, purchasing, outsourcing, software, licensing, and data-related agreements. Participate in coordinating contract management, overseeing software-based contract lifecycle management system (CLM), contract workstreams and in the development and implementation of contract-related policies/procedures, template libraries, and standard language. Work closely and collaboratively with all legal team members as part of an engaged and efficient team. Work closely and collaboratively with internal business owners to advise them on the range of issues involved in contracting, to provide practical problem-solving guidance and to communicate with clients on the potential business and legal risks that can arise throughout the life cycle of a business relationship. Promote the organization’s compliance with internal approval and financial controls with respect to contract initiation and requisition. Partner with stakeholders in IT and Legal to improve, maintain, and train end-users on the CLM. Participate in providing internal training and educational opportunities across the company regarding legal and contract concepts and contract-related policies and procedures. Provide support on all other matters requested by other members of the legal department, as needed. Manage all other duties as assigned.
Qualification and Experience
Qualifications: JD Degree from an accredited law school. Licensed to practice in good standing in Washington; or, eligible to practice as Registered In-House Counsel. 7+years of experience as an attorney drafting and negotiating a wide variety of contracts within a high-growth biotech and/or pharmaceutical company, or law firm equivalent. Ability to understand and analyze legal contractual terms, and accurately identify and assess the risks in a business arrangement. Strong verbal and analytical skills, sound business judgment, and excellent negotiation and drafting skills. Ability to work in a fast-paced environment and the ability to shifting deadlines and priorities. Strong organizational and prioritization skills are needed to manage multiple, parallel contract negotiations at any given time. Energetic, proactive, and decisive, with the ability to learn quickly, work independently, and influence others while maintaining the highest level of integrity.
