Corporate Paralegal The candidate serves as a core member of the Legal department by providing support in transactional, corporate governance and regulatory matters. Supports the Corporate Secretary with corporate governance matters, including preparing for board meetings as well as ensuring that the corporate minute books and records, are complete, accurate and maintained and reflect the decisions of the board. Assists Corporate Secretary in planning for and attending board and committee meetings, and prepares and distributes board agendas and meeting pre-read materials in a timely manner to directors and executive management. Serves as liaison with directors by coordinating communications, reimbursement and expenses for non-management directors, circulating documents for signature as required, and the coordination of meetings and other events. Under the supervision of the Corporate Secretary, assists with the maintenance of corporate books and records, including preparing and finalizing approved minutes, resolutions, consents and certificates of incumbency and executing post-meeting activities, as needed. Tracks and follows-up on board action items arising from meetings in order to confirm items are being addressed and escalates issues to Corporate Secretary and/or Counsel, as required. Coordinates requested corporate records for reviews for internal and external auditors and regulatory bodies, maintaining secure custody of corporate information. Creates and maintains a library of corporate governance documents and forms. Serves as an internal resource for information regarding corporate records, organizational structure, and other governance related items. Maintains corporate governance calendar and tracking reports for regulatory matters. Assists with Directors and Officers questionnaires, proxy materials, and annual meeting preparation and documentation. Coordinates signatures and notarizations of various legal documents. Manages general corporate matters, business transactions and related due diligence. Manages routine correspondence, organization of files, and other administrative tasks. Participates in and/or leads various special projects as assigned by Company Counsel, which may include legal research and analysis. Paralegal certificate for ABA approved program for legal assistants required. Must have 6+ years of relevant paralegal experience, preferably from a publicly traded company, large law firm or financial institution. Post-secondary degree or certificate in legal studies or comparable program is required. Boardvantage experience preferred. Should have intermediate knowledge and skills with MS Office, including Excel and Word.
