Senior Corporate Attorney The candidate will perform an integral role in the company’s growing legal department, with responsibility for a variety of matters in the U.S. public sector sales and compliance contexts. The principal responsibilities of the position will be: (1) negotiate and draft software license and professional services agreements in connection with procurements by Federal, state, and local, including public education, entities, as well as sales to government prime contractors, system integrators, and public sector resellers and distributors, (2) manage the company’s Federal Compliance Program, and (3) execute special projects as may arise in the public sector context. This position will interact on a regular basis with multiple company stakeholders, e.g., sales, operations, human resources, and finance personnel, including senior and executive management. Will be expected to hit the ground running on a variety of matters ranging from: (1) as part of managing Tableau’s Federal Compliance Program, navigating regulations related to securing and maintaining a Facility Security Clearance (FCL) as well as eligibility for Sensitive Compartmented Information (SCI) and Special Access Programs (SAP), (2) conducting sales transactions with Federal Intelligence Community (IC) agencies and complying with regulations applicable in such context, (4) overseeing the bidding process in connection with public sector solicitations, including filing bid protests as necessary, (5) interpreting and providing advice regarding applicable law and regulation, including the Federal Acquisition Regulation (FAR) and the agency supplements thereto, e.g., the Defense Federal Acquisition Regulation (DFAR), and (5) as necessary, assisting with matters related to the company’s GSA Schedule sales program and other contract vehicles, both Federal and state. Draft, review, analyze, and negotiate public sector and commercial contracts, including agreements relating to technology licensing (on-premise software and SaaS / cloud based services), professional services, direct and indirect distribution (OEM, Reseller, Referral, Systems Integrator, Technology Partner, and Teaming agreements) as well as other commercial agreements including non-disclosure / confidentiality agreements, and requests for proposal and solicitations. Seamlessly collaborate with the U.S. legal team and cross-functionally with the company’s global sales, operations, engineering, information technology, human resources, marketing, and finance groups to understand and ensure consistency of agreement terms with the company’s business, financial, and risk management objectives. Advise internal clients regarding legal and business issues, including identifying, managing and communicating risks and opportunities associated with specific agreements. Proactively communicate with legal team; provide diligence and insight regarding the company’s existing corporate agreements and identify / propose solutions to any localization issues. Consistently anticipate, proactively evaluate, and timely inform management regarding potential risks regarding contractual, regulatory, compliance, financial, and legal matters, including proposing mitigation strategies in connection therewith. Provide subject matter expert training on a variety of topics related to public sector sales. Contribute to ongoing process improvement and problem solving work product of the legal team. Other duties as assigned.
Qualification and Experience
The candidate should have 15+ years commercial agreement / license drafting, review, negotiation, and analysis experience. Specific public sector and technology transactions experience in fast paced, agile organization. Should have JD from accredited law school and Bar Admission. Should have experience communicating with C-Suite and Executive Management.
