Corporate/Senior Counsel Job The candidate will serve as the primary lawyer responsible for counseling the business on a broad range of commercial transactions, with a heavy emphasis on structuring, drafting and negotiating contacts. Core Responsibilities: Prepare and/or oversee the preparation of and reporting of all SEC and NYSE obligations. Draft and negotiate general corporate and commercial contracts including new vendor supply agreements, significant service agreements and possible international franchise agreements, master service agreements, software licensing and development agreements, marketing, ecommerce, strategic alliances and/or joint venture, professional and hosted services, market research and technology and marketing contracts. Perform due diligence and contract negotiation in connection with potential company mergers and acquisitions. Provide legal advice and support to partners regarding compliance with all applicable laws and/or regulations, and any implemented laws pertaining to business operations. On a daily basis, provide practical business to company partners; identify opportunities to minimize risks and process improvements and efficiencies that add value to the business.
Qualification and Experience
The candidate mnut be Licensed to practice in at least one state, preferably Ohio. J.D. is required. Should have 6 yearsâ€™ experience, preferably working with a public company or a mid to large sized law firm. Should have extensive knowledge of public company securities filing requirements and experience preparing such filings, experience with complex domestic and international mergers and acquisitions, and significant experience negotiating commercial contracts. Experience with intellectual property laws, international franchise agreements and/or real estate commercial leases is a plus. Must be adept at providing practical business solutions and strategic advice. Understands the big picture and willing to constructively challenge the status quo, generate new ideas, and encourage change. Should have strong ability to learn companyâ€™s business, including understanding financial performance metrics, and solid understanding of companyâ€™s risk appetite. Should have ability to efficiently identify, assess and prioritize risk, and manage risk accordingly.
