Position: Corporate and Securities Attorney
Location: Minneapolis, MN
Salary Range: $160,000 - $225,000

Overview:

Messerli Kramer, a leading full-service law firm in Minneapolis, is seeking an experienced Corporate and Securities Attorney to join our Corporate and M&A group. With a well-earned reputation for providing comprehensive and practical legal advice, Messerli Kramer serves a diverse range of clients in various practice areas, including Banking and Finance, Business Litigation, Corporate and Estate Planning, Commercial Real Estate, and Family Law.

Responsibilities:

- Formation and operation of corporations and limited liability companies in multiple states
- Advising new companies on entity selection
- Handling mergers, acquisitions, and dispositions
- Assisting with private placements and securities law compliance
- Implementing equity incentive plans for employees
- Drafting corporate resolutions and agreements
- Providing counsel to directors and executive officers
- Structuring equity allocations for startup companies
- Facilitating seed and venture capital financing transactions
- Drafting various corporate agreements, including NDAs, employment agreements, and shareholder agreements
- Familiarity with tax, employment, and intellectual property issues

Qualifications:

- 5-10 years of experience in corporate and securities law
- Ability to manage multiple assignments and collaborate with team members
- Strong legal writing skills and attention to detail
- Excellent negotiation and communication skills
- Active MN law license

Salary and Bonus Information:

The base compensation for this position ranges from $160,000 to $225,000, depending on experience and practice specialty. In addition, Associate Attorneys are eligible for quarterly and/or annual performance-based bonuses.
