Job Overview:
A well-established law firm is seeking an experienced and detail-oriented Transactional Attorney with expertise in commercial and residential real estate, corporate law, and financial transactions. The ideal candidate will have a strong understanding of California real estate law, corporate governance, and regulatory compliance. This role involves working with high-net-worth clients and their businesses, providing strategic legal counsel, and managing complex transactions.

Duties:
- Oversee and manage the acquisition, disposition, financing, and leasing of commercial and residential real estate properties.
- Draft, review, and negotiate real estate contracts, including purchase agreements, leases, and financing documents.
- Conduct due diligence on title and regulatory matters.
- Assist clients in forming and structuring LLCs, LPs, corporations, and other entities, including filings in Delaware and Wyoming.
- Draft and negotiate operating agreements, shareholder agreements, and corporate governance documents.
- Provide legal guidance on financial structures, including loans, deeds of trust, private equity investments, and joint ventures.
- Draft and negotiate financial agreements and security documents.
- Handle property transfers, easements, and chain of title research.
- Offer proactive legal guidance to mitigate risks in transactions and business operations.
- Represent clients in negotiations and resolve disputes related to real estate, corporate, and financial transactions.
- Build and maintain strong relationships with clients, providing tailored legal solutions to align with their business goals.
Requirements:
- Licensed to practice law in the State of California and in good standing.
- Minimum 3-4 years of experience in real estate transactions, corporate law, and financial matters.
- 2-3 years of litigation experience in these areas is a plus.
- Strong drafting, writing, and analytical skills.
- Ability to manage multiple projects efficiently.
- Excellent communication and interpersonal skills.
- Highly organized and detail-oriented.
Education:
- Juris Doctor (.) from an accredited law school.
Certifications:
- Active California Bar license.
Skills:
