Patent and Corporate Paralegal Duties: Under minimal supervision from the Intellectual Property and Corporate management teams, provides support in managing the administration of global intellectual property (patents) and legal entity management (global) functions. Handle all administrative aspects of global patent prosecution and maintenance, including maintenance of files, preparation of materials for applications and coordination with inventors. Assist in patent searches and clearances, including monitoring patent watch service reports. Review outside IP counsel correspondence, serve as administrator for internal intellectual property files and audit outside counsel’s docketing into internal FoundationIP database. Preparation of supporting documents for company’s patent review committee meetings. Assistance with and coordination of due diligence process for potential acquisitions and dispositions of assets and other special projects. Conduct initial review of outside IP counsel billings. Entity management/corporate maintenance including corporate entity formation and management, drafting and filing corporate charter documents, merger documents and documentation for foreign qualifications and registrations in accordance with applicable law and company policies and practices. Maintenance of web-based global entity management system. Drafting by-laws, resolutions, consents, and corporate maintenance documents, certificates and agreements. Maintenance of minute books, certificates, ledgers and transfer instruments. Support legal and business unit personnel, as needed (e.g. transactional; due diligence; audits; litigation responses; legal tools and templates). Prepare and organize documents for and assist in closing corporate and commercial transactions including agreements, certificates, checklists and other documents. Project tasks and project management responsibilities, as assigned from time-to-time.
Qualification and Experience
Qualifications: Bachelor’s degree highly preferred. Paralegal certificate or degree highly preferred. 2-4 years of overall paralegal experience with a minimum of 2 direct years of experience as a corporate paralegal. Detail-oriented, self-motivated and analytical. Effective oral and written communication and organizational skills to effectively work with diverse groups of people. Strong organizational, problem-solving and interpersonal skills. Must be able to multi-task and be flexible, with the ability to prioritize and complete projects effectively and efficiently. Demonstrated high proficiency in Microsoft Office Suite of products and database creation and maintenance.
