Paralegal III The candidate will provide paralegal support with general supervision to all law department Counsel under general supervision. Will perform complex paralegal work including contract and document review and analysis, completion of contracts, oversight of the due diligence process for transactions, assistance with preparing responses to discovery requests, oversight of the process for uploading and maintenance of contracts and forms and related reports. In collaboration with in-house attorneys, provide support to and communicate with outside counsel regarding administrative charges, litigation matters and discovery requests. Conduct legal research on various legal issues. Organize, maintain and supervise document collection for various legal matters. Create, disseminate and manage litigation holds. Facilitate responses to government agency (OIG, Nursing Boards, DOL, EEOC, OSHA, etc.) inquiries and information requests. Collaborate with internal stakeholders and outside counsel to respond to records requests, third-party information requests and subpoenas. Draft and negotiate contracts (NDAs, independent contractor, employment agreements, etc.) for various organization groups. Assist with proactive monitoring and advising of federal, state and local laws for compliance purposes. Handle various administrative tasks for attorneys, including settlement check processing, invoice review and approval. Manage, compile, analyze and organize documents for due diligence reviews and closings. Supervise maintenance of Corporate Records including Articles and Bylaws, organizational charts and indices. Assist as needed with preparation of corporate documents including resolutions, certificates, annual reports and other filings. Should have Paralegal certification or Bachelor's degree in related field. Must have 5 years of paralegal experience in corporate law office or law firm. Health law experience is a plus. Should have computer literacy with advanced skills in Excel, Word, Westlaw and Lexis.
