Corporate Paralegal Responsibilities: Manage corporate governance matters in relation to special projects, including the formation and/or dissolution of legal entities and the coordination of related filings in the relevant jurisdictions. Draft and finalize minutes of the meeting, consents, and resolutions of the Shareholders and the Board of Directors of the Company and its affiliates in relation to special projects. Update and maintain the legal entity org chart, Director & Officer slate, primary office and registered addresses, registered agents and company contact information, and related for the Company and its affiliates in relation to special projects. Coordinate with various service providers and advisors to update and maintain licenses and qualifications required to do business in various jurisdictions in relation to special projects. Develop, implement and maintain a corporate compliance and filings calendar, as well as a calendar and record-keeping for other compliance matters, in relation to special projects (e.g., export licenses, ECCN self-classification, data protection registrations). Assist with the management of due diligence projects on behalf of the Legal Department; including identification and collection and ongoing maintenance of documents and data room organization and access. Contribute to contract management by leading or directing key components and aligning details with company policies and objectives. Identify and develop opportunities for process improvements and improved collaboration in relation to special projects. Assist with legal research on applicable laws and regulations in connection with special projects. Assist in the development and implementation of a robust compliance program as required of a multinational, billion-dollar company that scales and integrates newly acquired business and assets. Perform other duties that may be assigned.
Qualification and Experience
Qualifications: Bachelor’s degree in any field, or a paralegal certificate. Equivalent experience will be accepted in place of the education requirement. 5+ years’ experience as a paralegal in a corporate setting. Outstanding organizational and interpersonal skills and demonstrated track record of managing details required of a corporate paralegal. Ability to communicate effectively with all levels and functions, from internal clients to outside third parties. Ability to handle confidential, sensitive materials and information. Demonstrated knowledge and understanding of legal contracts.
