Real Estate Paralegal The candidate works under the supervision of, the Assistant General Counsel and provides daily support to the General Counsel, Assistant General Counsel, Associate General Counsel and Corporate Counsel. This position provides legal support and resources relating to the development of new restaurant locations and maintains, manages and administer the Companyâ€™s portfolio of restaurant locations. Performs the day-to-day tasks relating to drafting, reviewing, analyzing, organizing, monitoring, archiving and disseminating real estate related documents, reports, deadlines and obligations; and is the primary contact interacting with other departments, build-to-suit developers/landlords, outside lawyers and others on a wide variety of real estate issues contributing to the development of new restaurant locations and ensuring the sound and proper management of the existing restaurant portfolio. Maintain and organize, on a daily basis, the real estate development pipeline through the Real Estate Development Report (RED), including contract status, site approval status, deadlines, projected construction and opening dates; with each location on the RED updated as changes dictate during due diligence and construction. Conduct research and analysis relating to all prospective restaurant locations, including collecting site aerial views, GIS mapping and tax information, deeds, easements, legal descriptions and ownership verification; work with members of the Real Estate Department to obtain additional critical information; prepare drafts of the real estate purchase agreements, lease agreements and other related development documents (including amendments); organize and assemble the foregoing and submit to corporate counsel for review. Compile critical deadlines from fully executed real estate purchase agreements and lease agreements, document the deadlines into a calendar for tracking throughout the due diligence period, and monitor the timely expedition of earnest funds to the escrow agent. Prepare, collate, distribute, and oversee execution of all documents relating to real estate closings following completion of due diligence. Complete and distribute the lease agreement true-up amendment once final construction costs are tabulated by the Construction Department; distribute copies and scan and file amendments into the system folder; update abstract via AMT. Scan and archive copies of documents to Real Estate Folders and AMT Direct Software System (AMT); track and pvSubmit resume.rocess the return of the earnest money. Formulate Lease Term after receiving the Certificate of Occupancy and distribute notice; obtain and distribute insurance certificates and W-9s; enter relevant data into AMT, complete lease abstract and print for the file and the abstract binder, and submit to the Accounting Department. Manage the Real Estate portfolio including (i) advising the Real Estate Department regarding critical upcoming lease term expirations; (ii) assisting with negotiations, operating as intermediary to landlords, and retain conversations of negotiations, by General or Assistant General Counsel; (iii) drafting and distributing lease amendments that result from negotiations; and (iv) communicating with landlords and sub-tenants (franchisees) regarding lease terms, insurance requirements, remodeling, extending terms, inspections needed, changes in ownership, CAM, water/sewer or tax issues. Update and distribute a report for the General Counsel furnishing the history and status of all restaurant locations that are being reviewed by the Real Estate Committee. Manage lease renewal process by preparing, distributing, copying and scanning lease renewal letters, including tracking receipt and notifying changes to Accounting and Operations Departments. Prepare Estoppels and SNDAs, as requested by landlords and after confirming rent amounts paid-to-date through the Accounting Department, and after conveyances by landlords are completed, collecting the assignment and/or deed of conveyance and a W-9 from the new owner and advising the Accounting Department accordingly; update AMT and the Real Estate file, create final abstracts. Communicate with various Departments (Operations, Construction, Accounting) regarding issues surrounding maintenance of the buildings and property, in addition to end of terms and any special requirements or process for returning keys, getting pictures, and handling a final walk-thru; create courtesy letters and/or termination agreements as needed; maintain yearly status of terminations, expirations, and store closings; index and box up inactive files for storage. Assist with legal administrative duties when Legal Administrator is out of the office.
Qualification and Experience
The candidate should have Bachelorâ€™s degree. Should have 3-5 years experience as real estate paralegal. Paralegal certification preferred. Maintains Continuing Legal Education requirements and other steps to remain current in applicable legal areas of responsibility. Should have ability to think critically and analyze and articulate clearly both verbally and written. Professional demeanor and strong interpersonal skills are needed. Must have excellent comprehension and writing skills.
