Corporate Paralegal The candidate must have a Bachelor’s degree and/or Paralegal Certificate with 3-5 years of paralegal experience. Must be familiar with researching state securities registration, requirements and exemptions from registration; communication with state securities examiners and making required state filings; general corporate work and corporate transactional work; and drafting probate, guardianship, conservatorship, trust administration and estate planning documents. Should preferably have working knowledge of filing documents; demonstrated experience in research and drafting; effective project management, planning and organizational skills; excellent oral and written communication skills; strong ability to manage multiple tasks and changing priorities; flexibility in handling work assignments and proven attention-to-detail skills. Must be familiar with: Collecting/monitoring due diligence and closing deliveries; Preparing closing binders and closing coordination; Entity Formation, Dissolution, Conversion, Restructuring, Maintenance; UCC Preparation and Filing; Handling payment of outside vendor services (i.e., Copyright Filing Fees, UCCs Filing Fees, UCC Searches); Notary public is desirable.
