The candidate performs a variety of legal services and project management services on contract, commercial and corporate matters that are handled by the Legal Department. Work principally with MWI Animal Health but will also support other divisions of firm's, such as ICS and Xcenda. Drafting, reviewing, evaluating and negotiating a wide variety of commercial contracts, including, without limitation, pharmaceutical distribution agreements, supply agreements, confidentiality agreements, service agreements, logistics agreements and consulting agreements. Coordinating the review and negotiation of contracts with business clients, management and Corporate Counsel, as applicable, and ensuring that contracts accurately reflect the business objectives. Advising business clients on the material terms and risks of proposed contracts. Identifying material issues or risks and elevating issues to Corporate Counsel as appropriate. Working with business clients, Corporate Counsel and outside stakeholders to minimize the company’s risk exposure through contracts. Providing project management assistance in connection with commercial contracting, including, without limitation, tracking and reporting on the status of contracts.

Qualification and Experience

The candidate must have good research experience, writing, communication and computer skills; normally requires 5+ years of progressively responsible and directly related experience. Experience in a large law firm and the legal department or contract administration group of a public company is desirable. Bachelor's degree and/or paralegal certificate preferred. Should have strong background in, and analytical skills relative to, contract review and negotiation. Must have familiar with a variety of the field's concepts, practices and legal procedures. Should have ability to work independently. Must have excellent research skills. Should have strong computer skills; knowledge of Microsoft Word, Excel and PowerPoint.
