ProfileDeputy General Counsel Duties: The candidate will report to the General Counsel. Will be responsible for performing authorized legal work for firm, overseeing a broad range of investment-related legal issues and transactions. Support the efforts of the OIC and the State Treasurer to fulfill their fiduciary duties. Involve the practice of law as a Special Assistant Attorney General, pursuant to an interagency agreement with the Oregon Department of Justice. Providing general transactional legal and regulatory advice to OST personnel and business teams across all portfolios in the Investment Division. Participating in the legal negotiation of the Investment Division's investment transactions, working with outside counsel as needed. Reviewing, revising and negotiating transaction documents. Performing side letter reviews (as well as maintaining and updating standard side letter provisions). Assisting with matters relating to real estate holdings, in coordination with the paralegal and outside counsel. Monitoring industry best practices and implementing, or suggesting implementation of such practices, where appropriate. Overseeing securities, regulatory and tax compliance matters, in conjunction with outside counsel as needed. Advising on applicable state law. Coordinating with the Oregon Department of Justice, as needed. Assisting in the leadership of OST's Legal and Compliance Division (including supervising the Legal and Compliance Division's paralegal and administrative staff).
Qualification and Experience
Qualification: The candidate should have Juris Doctorate Degree. Should have 7+ years' experience as a practicing attorney , with 8+years' experience in transactional law is highly preferred. 5+ years' experience with securities and investment transactions is highly preferred. Experience representing a governmental pension plan in investment-related matters is helpful. Prior supervisory experience is essential. Excellent oral communication and writing skill is essential.
