General Counsel The candidate will serve as Legal Officer reviewing all legal documents and supervising the processing of served legal documents. Will manage and judge the merit of any litigation against or on behalf of firm while working with the appropriate executives to define a strategic defense. Draft, review and negotiate a broad range of commercial contracts including nondisclosure agreements, master service agreements, leases, and vendor agreements. Serve as a Compliance Officer in conjunction with firm’s Head of Compliance to keep the Company apprised of laws, rules, regulations and compliance trends pertaining to financial services. Disseminate regulatory requirements to the business lines and provides appropriate legal advice and compliance support including the preparation or review of written submissions by the firm in connection with regulatory examinations and inquiries. Participate in the definition and development of policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Additionally, work with all business lines to draft and update legal policies, notices, and terms of use for all product offerings, as applicable. Participate in firm’s Vendor Management program, reviewing and negotiating contract provisions and performing due diligence requirements for strategic vendors. Draft, review and negotiate contract provisions based on strategy discussions with senior management as well as enterprise needs and expectations. Advises and supports business lines in review, structure, provisions and protections of third-party contracts and agreements. Ensures strategic contracts include service level agreements and service level incentives, bench-marking clause and other terms favorable to the achievement of firm’s strategic objectives. Juris Doctorate degree from an American Bar Association-accredited law school is required. Must have 5-7 years of legal practice or corporate in-house work. Admission (and active license) to a California state Bar is required. Previous General Counsel employment experience is a plus. Real-estate Experience is a plus. Bankruptcy and Foreclosure Experience is preferred.
