Corporate - General
3-5 yrs required
Corporate Paralegal Duties: Responsible for preparing and tracking transactional documentation, letters of intent, purchase and sale agreements, trust deeds, leases, subordination agreements, due diligence materials, statements, amendments, UCC and corporate searches, deeds and conveyance matters. Maintain corporate books and binders to include administration of corporate minutes, actions, resolutions, share registers and memorandums of corporate resolutions. Coordinate with government agencies to perform UCC searches, corporate registrations, changes to corporate records and operational agreements for state, federal and industry compliance. Document lender requirements and loan covenants, track and distribute deliverables as required by lender. Maintain calendar of appointments, complete expense reports, arrange detailed travel plans and compile documents for Executive Team’s travel-related meetings. Compile, rout and track construction contracts, change orders, bids, RFPs, etc. Follows instructions and accepts feedback. Coordination of Executive meetings and keeping of minutes, follow-up of action items to ensure completion.
Qualification and Experience
Qualifications: Associate’s Degree required. 3 – 5 years demonstrated ability in corporate or real estate environment. Writing and research skills, proficiency in creating and revising an assortment of corporate and real estate documents. Ability to interpret and evaluate contractual language, abstract data from leases, redline changes to leases and documents. Familiarity with property management and landlord rules and regulations with demonstrated ability to draft notices and file state required notices, actions and filings. Familiarity with construction contracts, documents and agreements, waivers and change orders. Requires the ability to adhere to recognized ethical standards and rules of professional responsibility. Must be able to relate to people in a variety of situations and is responsible to be highly trustworthy, discreet and with sound judgment. Detailed research skills, familiarity with legal terms and definitions, keen understanding of contracts and other legal documents as well as an understanding of general office administration and office technology. Demonstrated ability to plan and prioritize own work, strong interpersonal skills and the ability to speak publicly. Valid drivers license with record acceptable to Company standards. Read, write, and speak English fluently. Must pass criminal background check. SUCCESS FACTORS: Sound judgment, discretion, ethics, confidentiality and integrity. Ongoing professional development/training to maintain knowledge of current laws and practices. Attendance and punctuality are essential.
