Corporate and Compliance Paralegal The candidate will be responsible for supporting the Legal Department and General Counsel with various functions, providing a complete range of legal task, transactional, securities compliance and executive administrative duties. Should preferably have demonstrated experience supporting activities related to a public company, corporate governance, agreement preparation, maintenance of corporate and legal records, and corporate secretary duties. Responsible for managing business licenses, state registrations, completing city/county registrations, and submitting annual reports (renewals) for these licenses/registrations. Review documents such as requests for proposal, statements of work, non-disclosure agreements, and certain other agreements in conjunction with a Legal Department (dependent upon the complexity of the agreement). Paralegal support with respect to litigation matters, including: communication of and management of various document hold policies and hold notices, management of litigation electronic data pulls, assisting in the collection and production of hard copy documents, data and other information as needed in the course of litigation and/or other court proceedings (e.g. responses to subpoenas), and liaising with outside counsel as necessary. Provide assistance in maintaining corporate organizational records, including updating corporate record books, uploading and maintaining documents and corporate entity. Maintains the corporate books, drafts consents/resolutions, and coordinates execution of corporate documents. Reviews and provides comments on Requests for Proposals/Information/ Qualifications to ensure ability to comply with legal requirements. Maintains and updates SAM (System for Award Management) registrations, and completes and files GSA (General Services Administration) and HGAC reports. Prepares and maintains teaming agreements, consulting agreements, and subcontractor agreements. Assists in responding to requests for production/subpoenas. Assist with miscellaneous internal/external requests for information. Perform research related to corporate documents and entities. Document requests for closings. DBA (doing business as) facilities filings, maintain and track renewals. Must have familiarity with FAR and agency supplements, and SBE and MWBE contracting requirements and practices. Should have a Bachelor's Degree with 6-8 years of paralegal experience. Paralegal certification required. Experience in corporate records management and entity organization a plus.
