Corporate Counsel I The candidate will coordinate with company stakeholders in the Sales, Purchasing, Product Engineering, Human Resources, and Informational Technology departments to draft, review, negotiate, and/or support the negotiation of sales, supply, services, consultants, lease, and IT contracts. Review incoming contracts from customers and vendors and coordinate with company stakeholders to produce redline responses. Draft sales, supply, services, consultant, lease, and IT contracts in cooperation with company stakeholders. Lead and/or support negotiations of pending contracts with customers and vendors. Track contract compliance and update and renew contracts as required by company. Review and refresh standard company contract forms and standard company policies. Assist IP manager with routine confidentiality agreements, joint development agreements, and licensing agreements. Assist the IP department with management of the insurance portfolio and related claims, product liability issues, product recalls, and corporate record retention. Coordinate with outside counsel and internal stakeholders, when required, to support pending discovery and/or litigation. Review and advise company stakeholders on general corporate matters. Other duties as assigned by the IP manager. Juris Doctorate (J.D.) from an accredited law school and 2-15 years related experience and/or training (or equivalent combination of education and experience) required. Experience: with general corporate matters with an emphasis on contract review; in contract drafting and negotiation, insurance claim handling, record retention management, and discovery support required. Intellectual property and regulatory compliance experience a plus. Engineering or technical undergraduate degree desirable. Must possess outstanding communication and interpersonal skills.
