Profile

Senior Counsel (Secured Transactions) Duties: Draft, negotiate, review, analyze, administer and interpret credit agreements, indentures, master repurchase agreements and other structured finance transactional documents relating to secured term debt, high yield debt securities and mortgage and mortgage advance financing transactions. Work with treasury team to ensure various types of proposed transactions comply with the terms and conditions of applicable debt and financing agreements. Review and administer conduit and other special purpose entities formed to facilitate structured and non-structured financing facilities. Assist the General Counsel with other transactional and strategic matters as requested. Legal Specialties: Structured Finance, Secured Lending, Warehouse Financing, and Corporate Law.

Qualification and Experience

Qualifications: JD Degree required from an ABA accredited law school and current license to practice law in any U.S. state. Required to be admitted to, and in good standing with, the PA Bar or have the ability to obtain license to practice in-house in PA. 6+ years of extensive secured lending/structured finance experience at a large law firm and/or as in-house counsel. Prior public company in-house experience and/or prior experience with complex mortgage-related financing structures preferred. Team player that thrives in a fast-paced and demanding work environment. Ability to operate effectively and efficiently within a large and complex organization. Ability to analyze complex issues, develop creative solutions, and provide sound, practical and reasoned legal advice. Exceptional drafting and negotiation skills. Excellent oral and written communication skills. Ability to effectively manage and coordinate with external counsel. Ability to anticipate and meet the needs of a demanding and sophisticated treasury group. Superior organizational skills and ability to manage a heavy and diverse workload. Ability to become viewed as a trusted legal advisor to key internal clients.
