Legal Counsel The candidate will support the Managing Director, Legal and Vice Presidents in the Legal department in providing in-house legal services across various corporate, strategic and legal projects and assignments including: mergers, acquisitions, investments (minority or otherwise), joint ventures and dispositions; corporate finance, reporting and disclosure; litigation; commercial contracts; compensation and benefits legal matters; and general corporate work. Will support legal matters associated with, and provide legal advice with respect to, minority investments, venture and angel capital, investments, dispositions and certain global M&A opportunities. Provide legal guidance and advice on disclosure matters relating to the company (including credit groups and pools) in particular with respect to quarterly and annual reports, earnings releases, bond reports, '33 Act offerings and offering memorandums. Assist with preparation of CD&A and director remuneration for Proxy Statement and other sections as required and research of SEC issues. Assist and support on internal corporate restructures; mergers, dissolutions and formations; shareholder and board actions and issues; prepare and review documents for loans, dispositions and acquisitions. Review documents prepared by paralegal and outside lawyers. Research US corporation laws, prepare minutes/resolutions for actions, and monitor compliance for US subsidiaries, including bylaw and officer updates. Provide support and advice on commercial contracts. Includes drafting and negotiating all types of commercial contracts impacting the Denver executive office and working closely with European colleagues Assist with administration of various employee plans and policies and governance. Administer and/or supervise administration of plans for timely and accurate completion of required notices, filings, amendments, etc., to maintain US qualified Plans compliance with ERISA and qualified status under IRS. Prepare applicable board minutes and respond to questions. Manage, monitor and assist in Litigation matters involving the company, including with respect to commercial disputes, intellectual property rights and commercial disputes. Support senior lawyers with other general corporate matters, including intellectual property rights, compliance and corporate governance. Must have 2-4 years of M&A or general corporate experience in private practice at well-known law firm. Securities and corporate finance experience/background is essential. Second language fluency is a plus.
