Associate Counsel - General and Commercial Law The candidate will provide legal advice and counsel to Metro-Northâ€™s Procurement and Material Management Department, including preparing, editing, negotiating and reviewing contracts, requests for proposals, requests for bids, scopes of work, change orders, policies and procedures; prepare, review and negotiate permits, licenses and agreements; advise agency staff on a range of issues relevant to daily operations including procurement, construction, real estate and regulatory matters. Will perform commercial/transactional legal work in support of acquisition of goods and services, including fixed assets, rolling stock, construction and engineering services as part of public agency procurement process. Draft, review and negotiate contracts, RFPs, change orders, licenses and permits; handle vendor responsibility process and dispute resolution. Support licensing activities in stations and terminal. Assist in preparing and reviewing internal procurement policies and procedures for state and federal contracts. Interpret and advise on statutory, regulatory, administrative law and internal policies/procedures as applied to government procurements, railroads, public agencies and public authorities. Conduct legal research and prepare legal memoranda. Provide legal guidance to agency management and staff in all departments. Handle all other legal matters as assigned by supervisor.
Qualification and Experience
The candidate should have Bachelorâ€™s degree from an accredited college or university. Juris Doctorate degree from an accredited law school is essential.Must have 3+ years of relevant legal experience, with specific experience handling transactional matters and drafting contracts. Experience with construction and real estate matters is preferred. Knowledge of commercial and general law as applied to public transportation agencies is preferred. Experience with public transportation law and agencies is preferred. Experience with commercial litigation and dispute resolution is preferred. Admission in Good Standing to the New York State Bar or to another Stateâ€™s Bar, with the ability and requirement to waive into the New York State Bar expeditiously upon hiring. Must have skills in drafting, editing, interpreting and negotiating procurement, construction, real estate and commercial contracts, preferably in the public sector. Experience in government procurement is essential. Excellent verbal and written communication skill is essential. Strong research, writing and analytical skills, including command of computer-based research tools is essential. Strong interpersonal skills with the ability to interact with all levels in the Railroad and external contacts is essential. Working knowledge of Microsoft Office Suite and/or comparable applications is essential.
