ProfileAttorney Duties: Provides legal advice to executives and senior management on semi-complex matters with moderate monetary and legal risk. May support the development and implementation of corporate wide policies and strategies. Work closely with sales, project and management professionals; and provide legal advice and approvals during commercial contract negotiations. Draft, review and provide legal advice relating to commercial construction contracts/subcontracts, bids, equipment/service agreements, product sales transactions, and project implementation. Investigate, manage and resolve commercial project and contract conflicts, claims and litigation; establishing settlement strategies and negotiating resolutions; engaging and managing outside counsel to successfully resolve claims and litigation as appropriate. Analyze, manage and conclude diverse transactional and regulatory matters with commercial customers, suppliers and government agencies. Real estate transactions and documents: buy, sell and lease. Support HR in employment and labor issues. Assist in LLC secretarial/organizational compliance. Advise and advocate regarding commercial and project insurance issues and coverage. Analyze and consummate M&A transactions, consortiums and strategic partnering transactions. Intellectual property and software protection and licensing. Conduct legal research and writing on varied legal and business topics. Develop and provide legal training to internal clients. Coordinate with and support legal colleagues around the world.
Qualification and Experience
Qualifications: JD Degree or LL.B and admitted/licensed to practice law in one or more states. Successful experience in related field and successful demonstration of key responsibilities and knowledge as presented below. 4+ years of legal commercial experience with a law firm or company. Commercial construction services transactional drafting and negotiation experience. Demonstrated experience in at least three of the following additional legal areas: Employment and labor law, Commercial claims and litigation, M&A, IP, Real estate. Commercial Insurance, Regulatory compliance. Self-driven and resourceful to achieve goals independently as well as work in groups. Flexibility to adjust and thrive in an environment with changing requirements, schedules and priorities for multiple projects or assignments. Ability to work closely with management, and contribute to the success of the business by providing practical legal and business advice. The ability to socialize ideas, make recommendations and gather team consensus to move forward. Excellent contract and business writing, presentation and meeting facilitation skills. Demonstrates ability to communicate with Senior Management, as well as our Global Management team.
