ProfileLegal Director - Benefits Counsel The candidate role will be an integral member of the Corporate legal team who will advise with respect to a variety of benefits and other legal matters. Will also be responsible for the following: Assist with providing advice and counsel to the benefits team on various matters, including: Providing advice and compliance support related to the design and administration of a variety of qualified and non-qualified retirement (defined benefit and defined contribution), deferred compensation, and health and welfare benefit plans. Providing advice and guidance with regard to compliance with applicable federal and state retirement and benefit laws and regulations, including, ERISA, IRC, HIPAA, COBRA and ACA. Assisting with responses to employee benefit inquiries, claims and appeals and regulatory inquiries. Negotiating and drafting investment management agreements and benefit plan vendor contracts. Drafting and maintaining qualified and non-qualified retirement and health and welfare benefit plans and supporting the benefits team with all related documents, including, summary plan descriptions and employee communications. Serving as secretary and counsel to internal benefit plan committees. Handle benefits-related issues with respect to Company mergers and acquisitions, joint ventures, and other transactions, including: Coordination of due diligence reviews. Drafting language for transaction agreement and applicable benefit matters agreement. Negotiating deal terms and conditions with regard to benefits related issues. Assisting and reviewing materials relating to Executive Compensation matters as needed. Provide assistance to Labor Relations team with regard to collective bargaining requirements under the Companyâ€™s benefits programs, including: Draft language for the applicable collective bargaining agreements and memorandum of understandings. Interpret legal requirements based on the plan terms and conditions. Coordinate and supervise all aspects of ERISA related litigation. Oversee outside counsel on handling all aspects of the litigation in an efficient and cost effective manner. Draft and review commercial contracts and consulting agreements. Draft and review Non-Disclosure Agreements.
Qualification and Experience
The candidate should have J.D. from a leading university, with active admission to New York Bar. Should have 3-5 yearsâ€™ experience as a corporate attorney handling benefits matters at a top law firm or public company (with at least 1-2 years prior in-house experience strongly preferred). Must have excellent written and oral communications skills. Should have strong research skills. Must have strong analytical skills. Should have ability to communicate effectively in presentations and express complex strategies in an organized and articulate manner. Effective time management skills and ability to meet deadlines, including ability to work under pressure and muti-task is required.
