Paralegal The candidate will be a core member of the U.S. Legal Department by providing support to the Office’s litigation, transactional, and corporate secretarial functions. This will include: support counsel in managing new and ongoing litigation and regulatory inquiries and investigations; responding to subpoenas and other legal process; spearheading legal management initiatives. Responsible for providing legal support in drafting, reviewing and negotiating a variety of contracts, such as non-disclosure/confidentiality agreements and engagement letters. Support the Corporate Secretary with governance of U.S. subsidiaries and preparing for board meetings as well as assist in ensuring that the corporate minute books, records and database reflect the decisions of the Board, are complete, accurate and maintained, ensuring compliance with governing legislation and regulatory requirements. Review legal filings, including discovery responses. Partner with bank’s litigation support teams and outside counsel with respect to production of documents, including electronically stored information (“ESIâ€). Draft and provide updates as to ongoing litigation and regulatory matters. Assist with fact gathering and investigations, as needed. Review and process legal invoices. Remain up to date on new innovations in legal practice management, including in the areas of legal analytics. Draft, review and negotiate a variety of contracts for firm Investment Bank and Global Banking and Markets and Capital Markets teams, such as non-disclosure/confidentiality agreements and engagement letters; and Keep forms of internal agreements updated. Planning for board and committee meetings. Maintain corporate secretary calendar which includes coordinating with executives and their assistants. Coordinate reimbursement and expenses for external directors. Ensure the Englobe legal entity database is updated on a timely basis. Execute post-meeting activities such as updating minute books, Englobe and Sharepoint, as needed. Prepare and distribute packages for the directors and executives of the U.S. subsidiaries and committees: Prepare meeting agendas and other material. Coordinate minute book reviews for internal and external auditors and regulatory bodies, maintaining secure custody of corporate information.
Qualification and Experience
The candidate must have 3+ years of paralegal experience, preferably from a law firm, large organization or financial institution. Should have Undergraduate degree. Notary is preferred. Experience assisting with the litigation, regulatory, corporate secretarial or transactional matters is required. Experience with assisting counsel on any of the following: All phases of complex civil litigations and/or regulatory investigations, in particular experience with e-discovery; All aspects of corporate secretarial duties, and/or All aspect of transactional matters is needed. Proficiency with Microsoft Office is must. Proficiency with Relativity, Sharepoint, EnGlobe, and/or LegalTracker is desired.
