CORPORATE TRANSACTION PARALEGAL The Candidate will be responsible for Formation of Corporate Entities, Partnerships and Limited Liability Companies. Draft notices of organizational meetings and resolutions to be adopted. Draft minutes of organizational meeting of incorporator(s), stockholders or board of directors, or written consents in lieu of meeting. Prepare stock certificates. File documents to obtain business licenses. Draft UCC financing statements Process Form D filings. Create and maintain due diligence checklists for M&A transactions and financings. Prepare closing files/notebooks.

Qualification and Experience

The candidate should have 5+ years complex corporate law and transactional experience, a bachelor’s degree or equivalent work experience, proven exceptional work ethics and a strong commitment to delivering quality legal services. We also look for candidates who follow through with promptness, are pro-active thinkers, excellent communicators (verbal and written), committed to technology and can work well within a team atmosphere. Being organized is absolute as you will be working in a very fast-paced environment.

Management should schedule more weekly meetings and should not hold back in terms of handing out promotions to those that are deserving of one.

Pros : I have found this firm to be very structured and everything is very organized. Everyone takes their work very seriously and the pay along with the benefits are outstanding.
Cons : Work can be tedious at times. I have also found there to be a lack of room for advancement in the long term which is somewhat off putting.
