Assistant General Counsel The candidate works closely with the portfolio companies from start to finish of their projects in reviewing contracts, identifying areas of risk and work with the project teams to navigates the challenges of building some of the most epic structures in the US; and handles compliance and regulatory matters associated with being a public and international counsel and be involved in managing outside counsel. Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Works with General Counsel and the Senior Management Team providing counsel on all major business transactions, including acquisitions, divestitures and joint ventures. Judges the merits of major court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and approves settlements of disputes where warranted. Assists with the selection, retention, management and evaluation of all outside counsel. Advises on legal aspects of the company's financing, including assessing and advising on current and future business structures and legal entities. Should have a J.D. degree from a US accredited law school. Must have 5+ years of job-related experience dealing with construction and complex litigation. Experience with publicly traded and international companies is preferred. Admission in good standing with State Bar Association (California and/or Arizona license preferred) is required.
