Vice President of Security and Exchange Commission Legal The candidate will report to the General Counsel. Will provide expert and strategic legal advice in the areas of corporate finance (including Asset Based Securities (ABS)), corporate governance and government relations; oversee legal compliance protocols; and provide legal counsel and guidance on the establishment and maintenance of SEC filings, coverage requirements and internal governance policies and procedures. Oversee and direct a team to understand strategic initiatives and business needs, providing legal and business counsel, and establishing and influencing appropriate ethical standards and legal considerations. Consult with senior management in the presentation of strategic initiatives to the Executive Committee and/or Board and implementing such initiatives as adopted by the Board. Manage, evaluate and guide a 3-8 person corporate compliance team comprised of in-house attorneys as well as an experienced staff of paralegals and legal secretaries. Provide advice on developing, implementing and managing a strategic plan for the provision of corporate governance and subsidiary management, in accordance with and in support of, business objectives to include the selection and management of outside counsel. Provide legal advice with respect to disclosure matters, including in connection with quarterly and annual reports filed with the SEC, earnings releases, lender reporting obligations, securities offerings and financing transactions. Assist in the preparation of proxy statements, legal filings and related disclosures required to be filed with the SEC. Monitor and identify corporate governance, ethics and compliance matters, including overseeing various corporate policies and plans, preparing materials for board and committee meetings, and managing the board minute books. Regularly interact with senior executives, members of the finance, accounting, HR, tax, business planning and product teams as well as external advisors. Provide support and legal advice to business units and other lawyers on matters that may have an impact on SEC or other regulatory disclosures. Provide support and legal advice to consumer finance and securitization teams on matters related to their businesses, including ABS transactions and debt collection practices. Advise the company on regulatory and other legal risks of possible business decisions, providing preventive counseling associated with standard business practices and specific business transactions. Develop strategies with both inside and outside counsel in response to civil litigation and regulatory inquiries (including negotiating settlement agreements, where appropriate), and cost-effectively managing the resources required to address such matters. Support on a limited basis legal aspects of strategic transactions, including mergers, acquisitions, investments, divestitures and joint ventures.
Qualification and Experience
The candidate should have a J.D. degree with 10+ years of legal experience in a corporate and securities related position. Should have broad corporate, securities, governance, and government relations experience which should include: leading and managing transactions; drafting and negotiating agreements; SEC reporting, etc. Experience managing a wide variety of public company securities, disclosure and corporate matters is required. Experience with corporate governance, including the preparation of corporate policies, board of directors minutes and consents and annual shareholder meeting materials is needed. Industry-related experience is preferred. Should have in-depth knowledge of and familiarity with a variety of private entity structures especially limited liability companies and corporate structures.
