Assistant General Counsel Duties: Report directly to the General Counsel of a multi-billion-dollar, multi-national, high growth organization and: Serve as Assistant Corporate Secretary with responsibility for Board Committee governance, charters, communications, meeting schedules, meeting minutes and presentations Negotiate, document and provide strategic direction and leadership on sophisticated, complex enterprise deals, as well as legal support on matters arising in day-to-day operations Serve as lead counsel responsible for acquisitions, divestitures, joint ventures and investments world-wide Draft, review and counsel internal clients on letters of intent; merger, asset and stock purchase agreements; joint venture agreements; stockholders’ agreements; limited liability company operating and limited partnership agreements; and confidentiality agreements. Counsel management regarding transaction related risks. Serve as lead counsel for global corporate finance, subsidiary management, as well as risk and indirect procurement functions. Identify and implement sound corporate policies and procedures around litigation management, contract approval, record retention, insider trading, stockholder reporting, transaction management and investor relations. Negotiate employment agreements, professional service agreements, consulting agreements and commercial agreements. Manage disputes with third parties and oversee outside counsel in relation to litigation and settlements of claims Supervise one attorney and one paralegal, and implement training programs for junior attorneys and staff.
Qualification and Experience
Requirements: 10+ years of experience; mix of inhouse and outside counsel M & A focus a plus. Industry experience a plus. Ability to quickly develop a thorough understanding of and familiarity with business, services, markets, facilities and customers. Ability to anticipate legal issues, resolve sensitive topics and handle difficult situations diplomatically. Strong business counseling, communications, conflict management and negotiation skills. Team player and collaborator who can manage competing priorities in a fast paced, demanding environment. Outstanding interpersonal skills and the ability to communicate (both orally and in writing) and interact effectively with clients and business leaders at all levels of the organization. Strong judgment; ability to work autonomously.
