Corporate Counsel The candidate will be responsible for drafting, reviewing, and negotiating contracts and for providing general corporate and legal analysis. Will act as a resource to others in the Legal and Compliance Department. Draft and negotiate a significant volume of sales/revenue contracts for the Company and its affiliated entities. Structure, draft, and negotiate complex commercial agreements with customers and partners, including technology-related agreements, professional services agreements, nondisclosure agreements, and data sharing agreements. Respond to contract related inquiries and provide guidance as a subject matter expert. Identify and evaluate contractual and legal risks of business opportunities and suggest alternatives that lead to optimal solutions. Work cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences. Take on additional assignments and responsibilities as needed. Must have J.D. degree from an accredited law school and licensed to practice law; 3-5 years of related experience drafting and negotiating contracts in a large law firm or corporate legal department environment; Knowledge of business and corporate law; Excellent drafting skills. Experience with healthcare companies or companies within another regulated industry preferred. Knowledge of HIPAA member privacy and information security preferred.
