Mid - level Assistant General Counsel The candidate will maintain pro forma contract documents, including recommending and implementing any necessary changes. Will review and approve contracts, nondisclosure agreements, memorandums of understanding, teaming agreements and related documents. Draft contracts and other legal documents. Draft promissory notes and UCC financing statements. Participate in contract negotiations in conjunction with applicable business units. Represent NIB before state or federal tribunals, or administrative/regulatory bodies. Prepare legal opinions on impact of new contracting rules, regulations, and legislation. Provide on-going advice to business units on contracting and transactional matters. Coordinate with the Ability One Commission on legal issues including trademark matters, cooperative agreements and flow down agreements with associated agencies. Provide information to stakeholders on contractual issues. Identify and assist in facilitating contract compliance, including addressing concerns and proactively identifying issues. Provide on-going advice to business units on firm contracting policies and procedures, including contract approval and signing processes. Manage â€™s trademark portfolio, including counseling, and both defensive and proactive litigation as required to protect the brands. Assist associated agencies with trademark and flow down compliance. Provide training expertise to stakeholders on legal issues including firm Code of Business Ethics. Provided legal support to the New York State Preferred Source Program. Stay apprised of new rules, regulations, and laws involving government contracting law and commercial law, and review and update firm policies and procedures in response as necessary. Conduct legal research as assigned. Serve as firmâ€™s primary legal representative when assigned by General Counsel. Should have 5 - 7 years of experience in legal contracts, including experience with government contracting. Should have Bachelorâ€™s degree and JD degree from an ABA-approved law school. Must be currently licensed to practice law in the Commonwealth of Virginia, or eligible upon hire for Virginia State Barâ€™s Corporate Counsel designation is needed. An equivalent combination of education and experience is also acceptable. Must have experience in contracting, including government contracts.
