Associate General Counsel (M&A)
Duties: The candidate supports day-to-day transactional legal needs. Representing the Firm in connection with a variety of transactional matters. Provides legal support for the firm’s M&A (mergers and acquisitions) activity, including reviewing, drafting, and negotiating transaction agreements, performing due diligence, identifying and resolving issues and advising and collaborating with business leaders to reach desired outcomes. Handles general corporate matters including entity formation and structuring, as well as drafting and negotiating a variety of the Firm’s agreements, including client agreements, master services agreements, access letters, agreements with international network members, and technology licensing agreements. Leverages skills as a strategic business partner, and works with colleagues and internal clients to provide creative business solutions as permitted under applicable law, professional regulations and the Firm’s policies and procedures.

Qualification and Experience

Qualifications: A Juris Doctorate (JD), is required. Record of professional excellence and achievement with 12 years of broad commercial contract and corporate experience as a practicing attorney in good standing, required. 10 years of commercial experience leading and closing various transactions (strategic alliances, acquisitions, joint ventures, divestitures), negotiating large-scale contracts and devising pragmatic, creative solutions for problems, opportunities and business strategies, required. 6 years of experience and training in a law firm (preferably Am Law 100) in a related practice area, required. Experience (law-firm or in-house) supporting a professional/consulting services business, required. 2 years of in-house experience within a corporation, professional partnership or other large business structure, preferred. Member of a Bar, in good standing, required. Proficient in the use of Microsoft Word, PowerPoint and Excel, required. Experience with SharePoint, preferred. Demonstrated record of providing substantive/technical legal advice and support to clients. Forward-thinking and practical approach to negotiating and resolving transactional issues. Positive client-service attitude. Desire to be a part of a long-standing professional services organization with an appetite for growth and development of skills in new areas of the law. Strong verbal and written communication and interpersonal skills. Detail oriented, with excellent organizational skills. Exercises good judgment. Ability to be flexible and adaptive. Ability to communicate effectively with all levels of personnel. Ability to maintain the highly confidential nature of information. Able to work effectively within a demanding, deadline driven environment. Able to successfully manage multiple projects simultaneously and effectively to completion. Work effectively both independently and within a team environment.
