Senior Counsel The candidate will draft, review and negotiate a broad range of commercial transactions, including nondisclosure agreements, master service agreements, software licenses and vendor agreements. Advise and aid the business in finding solutions to comply with technology licensing, intellectual property, cyber security and privacy, as well as e-commerce laws, rules and best practices. Review and approve marketing materials and advise on compliance with contractual requirements. Write and review new and existing policies and procedures to ensure adherence with all applicable federal, state and contractual requirements. Assist with gathering and final review of all information requested by external third parties (including lenders and regulators) for RFPs, audit/examinations and recurring due diligence requests prior to release.
Qualification and Experience
The candidate should have a Juris doctor degree, licensed and in good standing in at least one U.S. jurisdiction. 10 years of experience drafting and negotiating technology and commercial-related contracts and agreements, including but not limited to nondisclosure agreements, master software license agreements, professional service agreements, SaaS agreements, service level agreements, vendor contracts, and licensing and distribution agreements. Experience with technology, internet, social media, privacy data security, data privacy and e-commerce issues. Outstanding organizational, analytical, problem-solving, and written and verbal communication skills. Ability to make decisions independently and prioritize effectively within a fast-paced environment. Solid track record of superior client service and project management. Strong skill with the Microsoft Office suite. Significant experience in technology-related contracts and legal issues concerning technology development/inbound licensing as well as IP ownership and protection a plus. General understanding or working knowledge of network architecture and data integrations preferred. Comprehensive knowledge of industry standards in contract drafting and an understanding of third-party-related regulatory requirements.
