A law firm seeks an experienced Principal Attorney specializing in fund formation to join its Business Practice Group in Washington, DC. This role offers a dynamic opportunity to support a broad client base on complex fund formation matters across various industry sectors. The attorney will collaborate closely with a multidisciplinary team of attorneys across multiple practice areas.

Duties

  • Lead the establishment of private investment funds, including private equity, real estate, venture capital, and crypto venture funds.
  • Draft and negotiate essential fund documentation, such as partnership agreements, subscription agreements, and private placement memoranda.
  • Provide strategic guidance on fund structuring and regulatory compliance for clients.
  • Offer ongoing counsel to fund managers and investors on fund-related issues.
  • Advise clients on corporate governance topics, including fiduciary duties and potential conflicts.
  • Handle regulatory filings and ensure adherence to federal and state securities regulations.
  • Counsel clients on SEC regulations, including the Investment Company Act, Investment Advisers Act, and other applicable regulations.
  • Oversee securities filings and reporting requirements.
  • Negotiate and draft transactional documents for investments related to funds.
  • Collaborate with other legal practice groups on cross-disciplinary transactions.
  • Support mergers, acquisitions, joint ventures, and other corporate deals involving fund clients.
  • Participate in client development and relationship-building activities.
  • Stay updated on industry trends to provide forward-thinking advice to clients.

Requirements

  • Experience: Minimum 7 years in fund formation, with experience in private equity, real estate, venture capital, and other asset classes; expertise in advising on fund structuring, compliance, and related legal matters.
  • Book of Business: A portable client base is essential.
  • Academic Credentials: JD from an ABA-accredited law school with a solid academic record.
  • Licensing: Licensed to practice law.
  • Skills: Exceptional analytical and drafting skills, with a client-oriented approach.
  • Communication: Strong verbal and written communication abilities.
  • Project Management: Demonstrated organizational skills for managing multiple responsibilities.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Active law license.

Skills

  • Extensive knowledge of fund formation processes and regulatory compliance.
  • Proficiency in drafting and negotiating fund-related legal documents.
