Growing insurance company in the health industry seeks a talented attorney to join its legal department. Successful candidate will report to the General Counsel and provide legal support across an array of practice areas, including: business transactions, corporate governance, employment and labor, health care and insurance, licensing and regulatory compliance, intellectual property and technology, risk management, and litigation management. • Review, draft, and negotiate a range of agreements, including client agreements, vendor and subcontractor agreements, business associate agreements, confidentiality and nondisclosure agreements, employment agreements, and corporate finance agreements • Research, analyze, and advise on a wide spectrum of legal issues; stay abreast and provide counsel on applicable federal and state laws and developments in such laws • Collaborate closely with business units to identify legal risks and provide creative and strategic solutions to protect the company’s interests while aiding business growth and development • Assist the General Counsel with corporate governance, maintaining corporate records, and preparing for quarterly and special meetings • Respond to subpoenas and record requests; perform discovery, as needed; handle and manage legal holds • Help manage the company’s IP portfolio; assist with protection and enforcement measures • Assist in developing, maintaining, and updating legal systems and records • Research, develop, and help implement policies and procedures • Perform other tasks and projects as assigned Education and/or Experience: • J.D. from a top-tier law school and excellent academic credentials • Current active membership in the State Bar of California • 1+ year of relevant transactional experience at a law firm or corporation; in-house experience preferred Specific Skills/Knowledge: • Exceptional writing, analytical, and verbal communication skills • Ability to swiftly learn complex legal issues, thoroughly examine all sides of an issue, and distill complexities into concise advice that can be used practically by business units • Meticulous attention to detail • Self-starting, proactive, innovative, and industrious • Strong organizational skills with the ability to manage numerous projects and deadlines simultaneously • Strong sense of responsibility with high standards of ethics and integrity • High level of professionalism and outstanding business judgment Environment and/or Physical Factors: Work is generally performed within an office environment, with standard office equipment available. Sedentary work involves extensive sitting, typing, close range vision most of the time.
