A law firm seeks a skilled Junior Associate Attorney to join its Corporate & Transactional team in San Diego, California. This full-time position is well-suited for an attorney with 5 to 7 years of experience in corporate law, transactional matters, and estate planning. The successful candidate will support the firm's business and private client practice areas, handling a variety of tasks, including entity formation, mergers and acquisitions, contract drafting, and estate planning.

Duties:

  • Assist in the formation and governance of entities, advising on the selection of entity types and jurisdictions, and preparation of formation documents such as bylaws, shareholder agreements, partnership agreements, and operating agreements.
  • Provide support on mergers and acquisitions, including drafting corporate transaction documents.
  • Draft and review general business contracts and agreements.
  • Work on estate planning matters, developing and implementing estate plans of varying complexity.
  • Perform research and prepare memoranda on various corporate and transactional topics.
  • Coordinate and facilitate entity renewals and organize meetings of directors, managers, and shareholders.
  • Provide clients with advice on compliance and governance-related matters.
  • Support senior attorneys in handling complex legal issues and transactions.

Requirements:

  • 5 to 7 years of relevant experience in corporate law, transactional matters, and estate planning.
  • Strong research, writing, and organizational skills.
  • Ability to work effectively both independently and as part of a team.
  • Detail-oriented with strong analytical skills.
  • Professional demeanor with excellent client communication.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be licensed to practice law in California.

Skills:

  • Expertise in entity formation and governance, including experience with bylaws, shareholder agreements, and operating agreements.
  • Experience drafting corporate transaction documents and advising on mergers and acquisitions.
  • Knowledge of estate planning, including the preparation of basic to complex estate plans.
  • Strong legal drafting skills and attention to detail.
  • Experience in federal, state, and local taxation is a plus.
  • Familiarity with intellectual property law, including trademarks and copyrights, is a plus.
