ProfileLead Counsel, Distributed Energy & Power Candidate will be: Accountable for delivery of legal services for DE&Pâ€™s (Distributed Energy & Power) North American (USA and Canada) Region. Will provide focused support to the DE&P North America business acting as in-territory business partner to the DE&P North America business and managing access to legal and regulatory advice from legal and regulatory teams providing shared services across the region and other regions. Will also be directly involved in complex business transactions and in negotiating critical contracts. Will cover all of the DE&P North American business activities, including M&A, joint ventures, shareholder arrangements (setting up, managing on an ongoing basis and exiting); deal structuring and execution; and board and shareholder advice; commercial matters including agreements with customers, services agreements; procurement contracts and other commercial contracts; and financing agreements including loan agreements and associated documentation plus advising on major construction deals. Will operate as a member of the DE&P North America Leadership Team and act as a key day to day point of counsel for the Senior Vice President DE&P North America who joined in late 2017. Will have to work closely with colleagues in other legal teams and particularly with the Global DE&P Legal team, the North America Business Legal team (commodity supply) and the Centrica North America Shared Services Legal teams (notably Corporate Services Legal, Procurement Legal Shared Services and Litigation/Labour Law Shared Services. Will, in conjunction with the UK based DE&P Global Managing Counsel and with support from the NAB Managing Counsel, be responsible for ensuring the delivery of effective advice on all DE&P commercial activities in the North America, risk identification and mitigation; developing an engaged legal team that provides efficient and effective legal services; and exercising budget discipline while overseeing the work of outside counsel as needed. As business partner to the business, will ensure that the shared legal services deliver effectively for these internal clients and that legal services are procured externally. Will manage a varied work load. Key areas will include: Providing day-to-day leadership as a member of the DE&P North America Leadership Team; Drafting, negotiating and advising the DE&P North America business directly on a variety of US law governed matters, including: developing and deploying new distributed energy products and propositions with C&I customers across a range of States and a range of areas, including C&I solutions for: Energy Insights, Demand Response, CHP, Solar PV, HVAC, Battery Energy Storage, Energy Efficiency and PPAs; supply chain procurement contracts and other commercial contracts, particularly regarding the delivery of construction projects; technology trials and innovation projects, including intellectual property protection. Energy services based financing agreements including loan agreements and associated documentation; US based M&A activity, including potential joint ventures; and building a North America Distributed Power Systems (Merchant Power) business. Procuring advice and support on any other legal or regulatory matters that arise for DE&P, including real estate, litigation and bankruptcy issues, and changes to regulation and State/Federal laws applicable to the DE&P North America business.
