Attorney III The candidate will work alongside the Commercial Structuring team and will be primarily responsible for providing legal support to Business Development function in connection with its distributed solar generation business which provides solar and solar plus storage solutions for C&I behind-the-meter, Muni/Co-p, and community solar customers. Responsibilities will include support for projects from the initial prospecting stage through commercial operation and will also include support for related financing matters (both tax equity and debt financing); assistance in overall compliance with federal, state and/or local laws and regulations; and such other transactional and contractual matters for the firm and its subsidiaries as may be required from time to time. Negotiate long term leases, easements, and other agreements with landowners to secure site control for construction of solar generation facilities. Work with title company and developers to review title commitments and resolve any title exceptions or encroachments. Research and maintain knowledge of local and state regulations and utility tariffs affecting projects, which include permitting, tax incentives, and other requirements. Identify and recommend actions to maintain compliance and mitigate risks associated with the foregoing. Participate in preparation of bids or other responses to customer solicitations. Develop and maintain uniform standard terms and conditions under which contracts for solar generation projects. Negotiate long term power purchase agreements with customers including proposed modifications to existing templates. Draft and negotiate SREC contracts, procurement agreements, construction contracts and other transactional documents. Perform and coordinate legal due diligence and risk analysis of transactions. Perform ethics reviews required by policies. Prepare and obtain internal approvals and authorizations, including by preparation of legal risk memos and participation in project or investment review meetings. Solicit information about commercial objectives of the business through regular correspondence and attendance at department meetings. Regularly meet with and advise business clients to accomplish commercial objectives. Evaluate and assess financial and other risks affecting the business, using statutes and case law (both publicly available and through subscription services), internal resources or external counsel. Advise the company on recommended changes to processes and contracts to minimize risks of disputes and litigation. Should have superior written and verbal communication skills. JD from an ABA accredited law school required. Must be licensed to practice law in one of the fifty (50) United States. Must have 5-7 years of legal experience at a law firm and/or in-house, preferably with both energy transactional and solar project development experience. Should have experience working within the energy industry, specifically renewables.
