Legal Contracts Specialist The candidate reviews, revises and negotiates distributor agreements with customers across company business unit product lines. Works with Sales, Product Management, Marketing and Finance teams to create programs and form documents in connection with distributor and dealer incentive programs. Assists in the development, negotiation and execution of third party nondisclosure agreements, field test agreements, R&D agreements, and other product or project specific agreements. Negotiates commercial terms and conditions of contract with all manners of third party vendors for supply of services and goods to company in compliance with internal Delegation of Authority and contract management guidelines. With respect to supply of goods and materials to state and federal governmental entities: (1) Reviews and assist in responding to bids and solicitations, (2) Assists in review of Government supply qualifications (Buy America, Steel Procurement, etc.) (3) Maintains SAM (System for Award Management) Registration. Assists with tracking of customer and supplier compliance with company compliance programs. Coordinates the issuance of insurance certificates, bonds, and letters of credit to satisfy contractual requirements and maintain insurance certificates for Vendors and Service Providers. Processes, organizes and ensures all supporting documentation is contained in the contract files. Participates in the development and implementation of procedures for contract management and administration as well as tools to enhance the process, throughput, document retention, and sharing of best practices. Performs contractual and administrative requirements that are complex and varied in nature, usually requiring some originality, ingenuity, and degree of technical skill. Establishes priorities and works concurrently on a variety of projects.
Qualification and Experience
The candidate should have a Bachelor's degree or certification in Paralegal Studies and strong legal contracts experience or any equivalent combination of education, experience, and training. Must have 5+ years of prior experience managing legal contracts. Experience contracting in the manufacturing industry is favorable. Proficiency in MS Office suite, SharePoint, Access and/or other enterprise document and file management tools required.
