Compliance Director - Executive Director
The candidate will be expected to liaise and partner effectively with Business Management, Legal, Risk, Controls Management, Internal Audit and other Compliance teams to provide ongoing compliance advice on regulatory matters and compliance risk regarding mutual funds and RICs. The candidate will also be responsible for related policies, risk assessments, monitoring and testing, and training. Strong knowledge of investment products including mutual funds, RICs, ETFs, and hedge funds, and a solid understanding of the Investment Company Act (ICA), the Investment Advisers Act (IAA) and related rules, are also critically important to the role. Will be expected to identify compliance-related risks and measure the sufficiency of controls while providing advice on a routine basis to Line of Business and control partners. Develop, implement, train and enforce effective current and new compliance policies and procedures in accordance with applicable laws and regulations. Lead, manage, coordinate, and conduct periodic and annual reviews and risk assessments of aspects of the funds’ compliance program, which may include the funds’ Rule 38a-1 policies, due diligence and trade monitoring. Prepare compliance reports for the Board of Trustees of the funds and senior management. Interact with senior business partners and with the Board of Directors, as well as Legal and Controls Management. Be responsible for the design, implementation and effectiveness of compliance programs across the registered fund complex. Oversee Compliance’s Independent Second-line Risk Assessment (ISRA) for the registered funds. Serve as a technical resource for business and product managers regarding ICA compliance and/or ICA regulatory matters. Research, compile and draft responses to internal audits, regulatory inquiries and examinations, and other special projects. Assist with formulating, communicating and leading a strategic vision for the funds’ compliance program. Stay current with regulatory and industry developments to help identify potential areas of vulnerability and risk and develop controls to mitigate these risks. Drive operational efficiencies by setting measurable goals and working on leveraging and deploying new and existing technologies to improve efficiencies in the compliance programs across WM. Represent the funds and their registered investment adviser with regulators in relation to registered funds advisory business. Attorney or compliance officer with a minimum 7 years of compliance/legal experience at a major law firm, regulator, fund or financial institution required. A bachelor’s degree; JD desirable. Excellent knowledge of RICs, the ICA, the IAA (along with related rules), and fiduciary regulatory standards/best practices for mutual funds and RICs required. Working knowledge of investment products and services marketed through a bank, investment adviser, or broker-dealer, and related OCC, SEC and FINRA rules and regulations helpful. Excellent interpersonal, presentation, written and oral communication skills required. Strong attention to detail and analytical skills required. Strong writing and editing skills required. Proficiency in Microsoft applications, including Excel and PowerPoint; experience in creating senior management information reporting, metrics, and ability to perform data mining and analysis required.
