Corporate Counsel The candidate will represent the legal function as part of a team responsible for energy plant development and management contracts and related M&A, joint venture and financing projects, and may also have responsibility for various aspects of internal governance associated with the corporate secretarial function. Principal duties will encompass contract negotiations, due diligence, drafting of complex agreements and corporate compliance training and counseling.
Qualification and Experience
The candidate should have Juris Doctorate Degree from a nationally recognized law school. Licensed to practice law and a state bar member in good standing. Must have 5-7 years in a major law firm, with substantive transactional experience as well as experience with corporate governance/subsidiary maintenance in a large corporate group. Prior experience as in-house counsel. Experience with energy projects and related regulatory matters required. Admission to practice law in any of the provinces or territories of Canada. Outstanding written and verbal communication skills as well as a proven ability to negotiate and draft documentation for sophisticated commercial transactions, notably including complex service and outsourcing contracts, credit documentation, acquisition and joint venture agreements, and construction contracts. Adept at working with minimal supervision on multiple time-sensitive projects and dealing directly with business developers, senior management and finance, accounting and tax professionals. Excellent interpersonal skills, with an ability to interface with people at all levels by virtue of professional competence, personal integrity, and personal style. French fluency, written and oral is a must.
