Senior Corporate Counsel The candidate report to the Vice President , Corporate Secretary and Associate General Counsel. Will play a leading role in the legal support for merger, acquisition, divestiture, joint venture, and other corporate transactions. Serve as the lead attorney for a strategic business unit and supports additional corporate work streams, including drafting and negotiating commercial and other corporate agreements. Support corporate transactional activities, including domestic and international merger, acquisition, divestiture and joint venture transactions. Play a leading role in all legal aspects of transactions, including driving strategic outcomes, advising executives on legal risks, coordinating due diligence reviews, leading and collaborating with cross functional transaction teams and drafting and negotiating deal documentation, from NDAs though definitive agreements. Drive M&A continuous improvement initiatives. Serve as the lead attorney for a strategic business unit, including potentially serving on a leadership team. Support additional corporate legal work, including commercial and corporate agreements and international work. Work with members of Legal leadership, other attorneys and staff on other matters as needed. Efficiently manage outside counsel.
Qualification and Experience
The candidate must have Juris Doctorate degree JD degree and bachelors; top tier undergraduate and law schools. Must be Member of the California State Bar, or eligible to register under the California State Bar in-house counsel program. Should have 8+ years of experience as a practicing attorney in the areas of M&A and corporate transactions, including experience leading and negotiating transactions. Experience in a top-tier law firm (in-house experience a plus) is essential. Experience interacting at a senior level with business management teams is essential. Pro bono experience is a plus. Broad range of relevant legal experience, including the ability to identify, prioritize and resolve critical legal issues in real time is essential. Strong decision making and problem solving skill is essential. Excellent verbal and written communication, negotiation and presentation skill is essential. Excellent interpersonal skill is essential.
