Transactions Counsel
The candidate will be responsible for critical legal aspects of company’s commercial technology transactions. Review, draft and negotiate a variety of commercial agreements, such as purchase and joint development agreements, master services agreements software and IP licensing matters, supplier component sourcing and vendor agreements, collaboration agreements and other commercial transactional agreements
Respond promptly to legal requests from engineering, sourcing, business development, finance and other teams, summarizing and communicating legal concepts in a clear and concise manner. Advise business and cross functional stakeholders on day-to-day and strategic commercial transactions that may include product liability, intellectual property rights, warranty terms, indemnification as well as key company policies and procedures. Support the continuous improvement of company’s legal transactions processes by identifying and implementing improvements in tools and operations.

Qualification and Experience

The candidate should have a JD degree. 7+ years of experience as legal counsel advising on legal aspects of commercial negotiations, various types of commercial agreements in new hardware technologies, automotive or similar industries. Experience drafting and negotiating commercial agreements, licenses, supply agreements and services agreements. Admittance to the bar in the state of California and in good standing or otherwise authorized to practice law (e.g., have registered in-house status). Experience negotiating IP licensing. Experience negotiating hardware supply agreements with semiconductor and discrete component suppliers. Experience in house as an attorney at a hardware company in the consumer or automotive space. Experience in autonomous driving or automotive industry preferred. Experience in other legal subject matters (for example but not limited to corporate, litigation or antitrust) a plus. Direct knowledge and experience advising clients in hardware, R&D or fast-paced new technology companies. Ability and interest in developing expertise in new, complex subject areas.
