Assistant General Counsel - Corporate Attorney The candidate advises corporate officers and employees on complex legal matters including transaction of business, product liability, corporate acquisitions, internal affairs, public relations, media presentation, corporate relations and other corporate matters. Performs a wide range of legal administrative and management functions as directed by the General Counsel, provides specific complex expertise in administrative law, regulatory compliance, environmental safety, health care, employment, and land-use law. Interprets laws, rulings and regulations and advises the Corporation and its subsidiaries. Acts as agent for the Corporation and its subsidiaries in various transactions. Represents the Corporation and its subsidiaries in litigation, hearings and other legal proceedings. Maintains a professional and constructive relationship between the corporation and governmental agencies and officials to preserve and improve the governmental environment in which the Corporation operates. Develops presents and participates in training of supervisors, employees and others in the Corporation, its subsidiaries and affiliates, to reorganize and avoid potential legal problems in a wide range of areas, as well as providing such duties on an individual basis. Establishes and maintains the structure and legal existence of a wide range of policies and records of the Corporation and its subsidiaries, including investigations, studies, monitoring, risk management, products liability, hazard communications, material safety, regulatory compliance, human resources, property tax, safety, employment opportunity, administrative charges and complaints, public relations, media management, tax overpayment and recovery, land-use, recoverable costs, enforcement, collections, purchasing, credit policy, capital improvements and other corporate matters. Assures that the Corporation and its subsidiaries are adequately defended against actual and threatened litigation. Drafts and/or approves legal documents and contracts, assuring that they are legally sufficient, complete, well-written and understandable, in order to promote efficient and economical operation and to avoid unnecessary conflict. Reviews and/or drafts new or modified contracts, policies and other legal documents as necessary. Selects attorneys to litigate on behalf of the Corporation and supports, and in certain cases, manage the litigation. Develops, reviews and approves proposals, projects, and legal or consultant work tasks needed by the Corporation. Establishes budget amounts for legal or consultant proposal and monitors billings and invoices to ensure compliance with billing and work performance. A broad range of legal and management experience and familiarity with the senior housing industry is required. Prior experience as in-house counsel in a related field is preferred.
