Corporate Paralegal Duties: Responsible for a variety of legal and administrative duties, while coordinating and assisting our lawyers in complex matters. Prepare corporate documents including formation documents, resolutions and consents for corporate actions, and minutes of meetings. Form, maintain, and dissolve corporate entities. Coordinate state/county/city licensing filings and annual reporting. Conduct corporate due diligence and reviews, summarize and analyze corporate records, compile information, and recommend courses of action to correct deficiencies. Create and maintain data rooms for client due diligence and corporate documents. Assist attorneys with corporate transactions including reorganizations, mergers and acquisitions, and securities offerings. Prepare securities and other regulatory compliance and filings.
Qualification and Experience
Qualifications: Bachelor’s Degree, Paralegal Certification, or equivalent experience. Must have 5+ years Corporate Paralegal experience. Banking experience is a plus. Working knowledge of sound corporate governance practices. Excellent interpersonal and communication skills. Top-notch organizational, time management and follow-up skills. Strong project management skills. Impeccable attention to detail. Excellent research skills. A self-starter with a proactive approach and the ability to identify issues. A strong customer service orientation. Ability to maintain confidentiality. Ability to effectively manage a diverse workload. Advanced knowledge of MS Office Suite.
