Contracts Analyst The candidate supports Category Managers, Strategic Procurement, and Procurement staff by preparing, negotiating, awarding and managing contracts. Independently manages the administration of contract documentation and obtains legal approval when necessary. Identifies appropriate terms and conditions that manage risk and maximize value for the company for procured materials and services. Audits executed contracts and analyzes historical contract performance and current business needs to assess compliance and recommend updates to templates. Prepare, negotiate, award and manage contracts, subcontracts and agreements issued by company in conjunction with Category Managers, Strategic Procurement and Procurement staff. Responsible for independently managing the day-to-day administration of the contract documentation process including using master agreements when appropriate, reviewing supplier redline responses to APS contracts, identifying unacceptable terms and provisions and assisting with negotiations. Prepare a summary of significant exceptions during the contracting process and obtain attorney approvals when necessary. Identify and develop appropriate terms and conditions that meet optimal balance between business unit and supplier requirements and that manage business unit/market/supplier risks. Develop innovative contracting approaches consistent with category strategies, business requirements and value objectives. Ensure vendor/supplier business and legal terms are accurately documented and contract standards are met for finalized contract documents. Perform post-contract audit of executed contracts to assess compliance with policies and procedures and regulatory commitments. Analyze company historical contract performance and current business needs in order to maintain and/or recommend updates to company vendor/supplier contract templates as necessary. Responsible for the day-to-day administration of contract documentation process, inclusive of process development. Responsible for accurate entry of required contract data into the contract system, as needed. Create training documentation and train SCM and business units staff on contract tools and processes. B.S. / B.A. Majors: Accounting, Business, Contract Administration, Supply Chain Management, Economics, Business Law or related field is needed. Master's degree in related discipline is highly desirable. Professional certification (e.g., CCCM or CPCM) is desirable. Paralegal experience involving significant commercial contracting or similar work experience is desirable. Should have 5-7 years of demonstrated experience using the above described skills in a wide variety of significant contracts for procurement of goods or services or related transactions, including reviewing, drafting, and negotiating contracts and working with supply chain and legal staff. Strong drafting and analytical skills are needed. Professional certification (e.g., CCCM or CPCM) and 7+ years' of significant, closely-related legal/finance/business experience may be substituted education/experience requirements are needed. Proficiency in contracts, terms and conditions development and negotiation is needed. Working knowledge and understanding of category management and supply chain processe is essential. Exceptional verbal and written communication, document writing and interpersonal skill is needed. PC literate in Microsoft Office application is needed.
