Vice-president - Legal
The candidate will provide professional legal counsel for management of the company's national portfolio of communities, including assistance on a broad range of legal matters. Will supervise and administer all necessary legal services in assigned matters, in conjunction with outside counsel as required. Provide legal advice to the relevant decision makers throughout the company. Support all areas of the business on various legal matters by providing legal counsel and advice in the normal course of business. Draft and negotiate routine to complex contracts and other legal documents for business transactions, including real estate acquisitions, financings, leases, construction, and ancillary business. Identify areas where additional legal training or resources to the business groups can be provided to create work efficiencies and minimize risk to the company, then work with the appropriate business group to implement. Develop and make recommendations for improvements to internal policies and procedures for handling various matters involving legal risk to the business. Consult with the acquisitions and management team on deal structure and strategic alternatives for acquisition of more complex opportunities. Manage outside legal counsel relationships and, in cooperation with executive management team and company advisors, participate in matters for which outside legal counsel are engaged. Conduct legal research, provide strategy and manage litigation strategy. Prepare and review various operating, employment and vendor agreements. Responsible for contract management and records retention. Oversee the formation and maintenance of corporate entities.

Qualification and Experience

The candidate should have a J.D. degree from an accredited law school and be a member in good standing of a State Bar. Must have 5-10 years of experience with a major law firm and/or an in-house legal department, with a focus on real estate. Any combination of training, experience, skills and other characteristics that would provide the requisite knowledge and abilities in support of the essential job functions will be considered. Must be adept and proficient at advanced legal document drafting and negotiating. Should have ability to effectively identify, research and analyze routine-to-complex legal issues, assess potential exposure, propose alternative courses of action and make well-reasoned recommendations.
